Zentalis Pharmaceuticals (Nasdaq:ZNTL) Grants Stock Options to New Employees

August 3, 2026 — Leads & Copy — Zentalis Pharmaceuticals, Inc. (Nasdaq: ZNTL) announced that on August 3, 2026, the Compensation Committee of its Board of Directors granted non-qualified stock options to purchase an aggregate of 84,000 shares of the Company’s common stock to two newly hired employees. The stock options were granted under the Zentalis Pharmaceuticals, Inc. 2022 Employment Inducement Incentive Award Plan, known as the 2022 Inducement Plan, as an inducement material in accordance with Nasdaq Listing Rule 5635(c)(4).

The 2022 Inducement Plan is exclusively used for equity awards to individuals who were not previously employees of Zentalis, or who have had a bona fide period of non-employment. This practice serves as an inducement material for these individuals to enter into employment with Zentalis, adhering to Nasdaq Listing Rule 5635(c)(4).

The stock options carry an exercise price of $4.65 per share, which matches the closing price of Zentalis’ common stock on The Nasdaq Global Market on the grant date. These options have a 10-year term and will vest over a four-year period. Initially, 25% of the options will vest on the first anniversary of the vesting commencement date. The remaining 75% will vest in equal monthly installments over the subsequent three years.

Vesting of these stock options is contingent upon the employee’s continued service to Zentalis on each respective vesting date.
