TORONTO, Ontario — October 2, 2025 — Leads & Copy — Rockcliffe Labs Inc. has acquired Algae-C Inc., integrating Algae-C’s algae-based molecular discovery and production technology into its biotechnology venture creation platform. All Algae-C securities were exchanged for Rockcliffe Labs shares, making Algae-C a subsidiary with former shareholders retaining ownership in the combined entity.
The acquisition is expected to expand Rockcliffe Labs’ pipeline with Algae-C’s library of over 600 molecules applicable in pharmaceuticals, nutraceuticals, cosmetics, and industry. Synergies include integrating Algae-C’s IP and expertise with Rockcliffe Labs’ infrastructure, creating opportunities for licensing, co-development, and supply agreements.
Rockcliffe Labs plans to maintain Algae-C’s research operations, advance algae-derived molecules into development, align practices, and pursue strategic partnerships. Former Algae-C shareholders now hold an ownership interest in Rockcliffe Labs, along with existing shareholders and partners.
