Toronto, Ontario — October 30, 2025 — Leads & Copy — Quantum BioPharma Ltd. (NASDAQ: QNTM) (CSE: QNTM) (FSE: 0K91) (Upstream: QNTM) announced a non-brokered private placement of up to 30 class A multiple voting shares at $25 per share, for gross proceeds up to $750. Shareholders approved the offering at the annual meeting on September 26, 2025.
Entities owned or controlled by Zeeshan Saeed and Anthony Durkacz, existing holders of Class A Multiple Voting Shares, are expected to subscribe for the offering.
The offering, if fully subscribed, would increase the voting rights attached to the Class A Multiple Voting Shares to 75.27%, nearly the same percentage as when the company went public in 2018. The board of directors approved the offering on October 29, 2025, with Zeeshan Saeed and Anthony Durkacz abstaining from the vote.
All Class A Multiple Voting Shares issued will be subject to hold periods of four months and a day from the date of closing. The company intends to use the proceeds for general working capital purposes.
It is anticipated that Xorax Family Trust, a trust of which Zeeshan Saeed is a beneficiary, and Fortius Research and Trading Corp., a corporation of which Anthony Durkacz is a director, will purchase all the Class A Multiple Voting Shares issued. The participation by such insiders is considered a related-party transaction within the meaning of Multilateral Instrument 61-101.
Anthony Durkacz also announced the transfer of 77,000 Class B Subordinate Voting Shares to another individual on October 29, 2025, pursuant to a private agreement entered into to give effect to a matrimonial settlement.
