Burlington, Ontario — November 28, 2025 — Leads & Copy — Promino Nutritional Sciences Inc. (CSE: MUSL) (OTCID: MUSLF) (FSE: 93X) announced that the Ontario Securities Commission (OSC) has fully revoked the Failure-to-File Cease Trade Order (FFCTO) effective November 26, 2025.
The FFCTO prohibited trading of the Company’s securities in Canada, with limited exceptions.
The OSC initially issued the FFCTO on May 7, 2025, because Promino failed to file its annual audited financial statements, management’s discussion and analysis, and related officer certifications for the fiscal year ending December 31, 2024. These filings are required under Parts 4 and 5 of National Instrument 51-102 – Continuous Disclosure Obligations and National Instrument 52-109 – Certification of Disclosure in Issuer’s Annual and Interim Filings.
Promino submitted the required filings on September 12, 2025, and amended them on November 19, 2025. These documents are available for review on SEDAR+ at www.sedarplus.ca. Additionally, the company filed its interim financial statements, management’s discussion and analysis, and related officer certifications for the three months ending March 31, 2025, and the six months ending June 30, 2025, on September 19, 2025.
Promino has applied to the Canadian Securities Exchange to reinstate trading of its common shares. The Company has also committed to holding an annual shareholder meeting on or before February 26, 2026, as part of an undertaking with the OSC.
The Company stated that there have been no changes to the Company’s current or future business plans since the FFCTO.
