NanoViricides Inks $6 Million Securities Purchase Agreement (NYSE American:NNVC)

November 11, 2025 — Leads & Copy — NanoViricides, Inc. (NYSE American:NNVC) has announced a securities purchase agreement with a healthcare institutional investor for 3,571,429 shares of common stock (or equivalents) at $1.68 per share in a registered direct offering.

The offering is expected to generate approximately $6 million before deducting commissions and expenses. Simultaneously, NanoViricides will issue Series A warrants (the “Series A Warrants”) and Series B warrants (the “Series B Warrants”) to purchase up to 3,571,429 common shares each.

The Series A Warrants will be exercisable at $1.75 per share after six months and expire two years from issuance. The Series B Warrants, exercisable after six months, will have an exercise price of $2.00 per share and expire in 5.5 years, representing a 20% premium over the company’s November 10, 2025, closing price.

The offering’s closing, contingent on standard conditions, is anticipated on or around November 12, 2025. NanoViricides plans to allocate the net proceeds to bolster working capital and for general corporate needs.

A.G.P./Alliance Global Partners is the placement agent for the offering.

The shares are offered under a registration statement on Form S-3 (File No. 333-271706), effective May 22, 2023. The offering is detailed in a prospectus supplement and accompanying prospectus filed with the SEC and available at www.sec.gov. The warrant placement is a private transaction exempt from registration under Section 4(a)(2) of the Securities Act of 1933 and Regulation D. These securities cannot be sold in the U.S. without registration or an applicable exemption.

NanoViricides, Inc. is a clinical-stage company focused on creating nanomaterials for antiviral therapies. The company is also developing drugs for herpes, viral eye diseases, swine flu, bird flu, seasonal influenza, HIV, Hepatitis C, rabies, dengue fever, and Ebola virus. NanoViricides licenses technology from TheraCour Pharma Inc., holding exclusive rights for specific viruses and applications.

The path to drug development is lengthy and requires substantial capital. There is no assurance that NanoViricides’ candidates will achieve sufficient effectiveness or safety for clinical development or regulatory approval.
