Mountain Valley MD Holdings Inc. (CSE:MVMD) Expands Advisory Board and Grants Stock Options to Support Growth

(MVMD) has announced the appointment of five new advisors and the grant of stock options to advisors and consultants, signaling a strategic expansion of its advisory team to support commercialization and growth. These appointments are intended to bolster the company’s expertise across critical areas including clinical and consumer health, regenerative agriculture, media, technology, intellectual property, business development, governance, and U.S. capital markets.

Dennis Hancock, President and CEO of MVMD, expressed enthusiasm for the new advisors, stating, “We have been intentional about rounding out the experience, capabilities and relationships supporting the Company as we advance commercialization.” He added that the collective expertise of these advisors, along with those appointed earlier in the year, will enhance the company’s ability to advance key commercial relationships, expand business development opportunities in the United States, and prepare MVMD for its next phase of growth.

Among the newly appointed advisors is Dr. Zach Bush, a triple board-certified physician recognized for his work at the intersection of human and planetary health. Dr. Bush’s experience spans internal medicine, endocrinology, metabolism, hospice, and palliative care. He is also the founder of Seraphic Group and a co-founder of Farmer’s Footprint, an organization focused on regenerative agriculture. His commercial experience includes the ION line of microbiome-support products.

Erai Beckmann joins as an advisor with over two decades of experience as a serial entrepreneur, investor, and operator in health sciences, emerging technologies, and international markets. He was an early participant in the global cannabinoid pharmaceutical industry and co-founded one of the first CBD pharmaceutical companies to legally import into Latin America. Beckmann is currently the Founding Partner of Peace Through Trade, a blockchain ecosystem integrating artificial intelligence, and principal of a private family office focused on emerging technologies.

Actor, writer, director, and entrepreneur Mehcad Brooks also joins the advisory board. Brooks has a career spanning film, television, music, and digital media. He is the founder of Defiant Media, MB Interactive, and Meta Film Ventures, which focus on original content development and the application of artificial intelligence in media. His work also includes advocacy in human potential, innovation, and precision wellness.

Dr. Sanjeev Goel, a Canadian family physician, entrepreneur, author, and educator with over 25 years of clinical experience, has also been appointed. Dr. Goel is the founder and CEO of Peak Human, a personalized health practice focusing on longevity and performance. His expertise includes healthy aging and the interplay of physical, mental, and emotional well-being.

Rounding out the new advisors is Eric Zember, a strategic advisor, technology executive, and lawyer with experience across various company sizes. Zember serves as General Counsel of Affinity Solutions and has extensive experience in negotiating technology, artificial intelligence, and intellectual property transactions. He has also served on the Board of Directors of The Explorers Club and has published research on memory and cognition.

In addition to the advisory appointments, MVMD announced the grant of 3,250,000 incentive stock options to certain consultants and advisors. These options have an exercise price of $0.075 per share and are exercisable for five years. The vesting schedule is set at 20% upon the date of grant, 30% on the 6-month anniversary, and the remaining 50% on the 12-month anniversary.

Hancock noted the significance of these option grants, stating, “These option grants recognize that contribution and create a direct connection between their ongoing work and the long-term value we are seeking to build for shareholders.”
