Jupiter Neurosciences, Inc. (NASDAQ:JUNS) Approves 1-for-75 Reverse Stock Split to Regain Nasdaq Compliance

JUPITER, FL — August 5, 2026 — Leads & Copy — Jupiter Neurosciences, Inc. (NASDAQ: JUNS) announced today that its board of directors has approved a 1-for-75 reverse stock split of the Company’s common stock. This move, aimed at increasing the per-share trading price to meet Nasdaq’s minimum bid requirement, was previously approved by stockholders at the annual meeting on July 22, 2026. The reverse split will become legally effective at 4:01 p.m. Eastern Time on August 6, 2026. The Company’s common stock will commence trading on a split-adjusted basis on The Nasdaq Capital Market on August 7, 2026, under the existing ticker symbol “JUNS” and a new CUSIP number 48208B 302.

The reverse stock split will consolidate every seventy-five (75) existing shares of common stock into one (1) share. Jupiter will not issue fractional shares; instead, stockholders who would be entitled to a fractional share will receive a cash payment. This payment will be calculated based on the closing sales price of the Company’s common stock on The Nasdaq Capital Market, adjusted for the reverse split, on August 6, 2026, the trading day immediately preceding the effective date.

Following the reverse split, the number of outstanding shares of common stock is expected to decrease from approximately 57,756,143 as of August 4, 2026, to about 770,081 shares. The total number of authorized shares will remain unchanged. Concurrently, proportional adjustments will be made to the exercise and conversion prices of the Company’s outstanding stock options and convertible securities, as well as to the number of shares available under its stock incentive plans.

Shareholders holding their shares electronically in book-entry form do not need to take any action. Those with shares held through a bank, broker, or other nominee will see their positions automatically adjusted, with any necessary adjustments handled by their respective intermediaries. For stockholders possessing physical stock certificates, Equiniti Trust Company, LLC, the Company’s transfer agent, will provide instructions for exchanging these certificates for post-split shares held electronically or for new certificates. These instructions will also cover any applicable cash payments for fractional shares.
