Markham, Ontario — February 9, 2026 — Leads & Copy — Cheelcare Inc. (TSXV: CHER) has entered into term sheets with strategic investors for a non-brokered unsecured promissory note financing, according to a press release issued today.
The financing, referred to as the “Offering,” is for gross proceeds of up to $1,000,000. The company said that $750,000 is expected from Pathfinder Asset Management Ltd. (“PAML”) and $250,000 from NameSilo Technologies Corp (“NameSilo”), collectively known as the “Lenders.” The agreement is subject to execution of definitive agreements and TSX Venture Exchange approval.
The Notes will have an 18-month term and accrue interest at 12% per annum. Principal is due and payable on maturity, with interest payable semi-annually. Cheelcare has the right to redeem and prepay the Notes after one year without notice, bonus, or penalty.
Cheelcare intends to use the proceeds from the Offering for working capital, inventory, product manufacturing activities, and general corporate purposes.
The company will issue common shares (“Bonus Shares”) to the Lenders in connection with the Offering. The number of Bonus Shares will equal 20% of the Notes’ principal amount divided by the Market Price of $1.51 per Bonus Share, the closing price of Cheelcare’s common shares on February 6, 2026. An aggregate of 132,450 Bonus Shares will be issued to the Lenders. The Bonus Shares will be subject to a four-month hold period from the issuance date, in accordance with Canadian securities laws and Exchange policies.
Closing of the Offering is subject to customary conditions, including receipt of corporate and regulatory approvals, including Exchange approval. No finder’s fees or commissions are payable. The Lenders are arm’s length parties to the Company.
