WOBURN, Mass. — November 7, 2025 — Leads & Copy — Biofrontera Inc. (Nasdaq: BFRI) has divested its U.S. license for Xepi® (ozenoxacin) Cream, 1% to Pelthos Therapeutics Inc.
Biofrontera received $3 million at closing and is slated to receive an additional $1 million upon commercial product availability. The company could also receive up to $6 million in milestone payments, with $3 million each tied to achieving $10 million and $15 million in annual net revenues for Xepi®, respectively, within the U.S., Puerto Rico, and the U.S. Virgin Islands.
Dr. Hermann Luebbert, Chief Executive Officer and Chairman of Biofrontera, stated that the divestiture strengthens the company’s balance sheet following a recent restructuring of its agreement with Biofrontera AG. The transaction is expected to fund the company to profitability.
According to Dr. Luebbert, the reduction in the earnout payable for Ameluz®, along with capital investment from healthcare funds, allows the company to focus on its photodynamic therapy (PDT) franchise by accelerating sales initiatives and expanding the approved Ameluz® indications for actinic keratosis (AK) treatment.
Xepi® (ozenoxacin) Cream, 1%, contains a topical non-fluorinated quinolone that inhibits bacterial growth and kills bacteria. It is FDA-approved for treating impetigo, a common skin infection caused by Staphylococcus aureus or Streptococcus pyogenes. Currently, there is no known antibiotic resistance against Xepi®.
Biofrontera Inc. specializes in developing and treating dermatological conditions, focusing on photodynamic therapy (PDT). It commercializes Ameluz® with the RhodoLED® lamp series for PDT of AK, precancerous skin lesions which may progress to invasive skin cancers. The company is conducting clinical trials to extend the use of the products to treat non-melanoma skin cancers and moderate to severe acne.
