King Global Ventures Launches Private Placement to Fund Exploration Projects

Toronto, Ontario — August 4, 2026 — Leads & Copy — King Global Ventures Inc. (CSE:KING) (OTC: KGLDF) (FSE: 5LM1), a North American precious and base metals exploration company, announced today it is undertaking a non-brokered private placement to raise up to US $2,300,000. The offering will consist of up to 5,750,000 units priced at US $0.40 per unit.

Each unit will comprise one common share and one common share warrant. The warrants provide the holder the right to subscribe for an additional common share at US $0.75 per share for a period of two years following the closing date.

Units issued under the Private Placement, including the common shares and warrants, will be subject to a hold period of four months and one day, in compliance with Canadian Securities Exchange policies and relevant securities legislation.

The net proceeds from the Private Placement are designated for continued exploration and drilling activities at the Company’s Iron Horse and Black Canyon Projects. Qualified finders who facilitate the sale of units may receive a finder’s fee in cash, in accordance with Canadian Securities Exchange policy and applicable securities law.

The Private Placement is contingent upon the satisfaction of certain conditions, including the procurement of all necessary approvals, notably from the Canadian Securities Exchange. This announcement supersedes the Company’s previous press release dated June 18, 2026.

King Global Ventures is actively engaged in the exploration of precious and base metals across North America. Its Black Canyon Project, situated in Yavapai County, Arizona, encompasses 213 contiguous concessions covering 3,800 acres. This site includes 15 former mines, such as the historical Howard Copper Mine, and is located 100 km north of Phoenix. The Black Canyon Project is an early-stage exploration target for Volcanogenic Massive Sulphide (VMS) mineralization, with potential for copper, gold, silver, and zinc. Yavapai County’s geology is recognized for its diverse base and precious metal deposit types, with a rich history of mining and exploration, including operations at Bagdad, Jerome, and Cleopatra. The property is positioned on trend, approximately 8 km northwest of Arizona Metals’ holdings and 100 km south of the historic Jerome Copper mine.

The Howard Copper Mine Property consists of 78 acres of patented land, approximately 100 km north of Phoenix, Arizona. Initial small-scale production and development efforts in the early 1920s focused on high-grade copper. It is estimated that between 100,000 tonnes of copper grading 3-5% were extracted before the mine ceased operations in 1942 due to wartime fuel rationing. Historical records indicate the main shaft reached the 900-foot level, with mining activities not extending below the 500-foot level.

The Mikwam Gold Property is located in Noseworthy Township, within the Abitibi Greenstone Belt of northeastern Ontario, along the Casa Berardi Deformation Zone, which hosts Detour Gold’s Burntbush Property. The Mikwam Property is hosted within Timiskaming-aged polymictic conglomerate and greywacke units, featuring disseminated and vein-hosted gold mineralization associated with quartz-carbonate veins and pyrite.
