Carrier Connect Data Solutions Completes First U.S. Data Center Acquisition and Grants Stock Options
VANCOUVER, British Columbia — August 4, 2026 — Leads & Copy — Carrier Connect Data Solutions Inc. has completed the acquisition of a data center and related assets in upstate New York from Rochester Colo, LLC. The transaction, previously announced, marks Carrier Connect’s first U.S.-based data center acquisition.
Under the terms of the asset purchase agreement, Carrier Connect’s wholly owned subsidiary, PureColo Inc., acquired the assets. In consideration for the acquisition, Carrier Connect issued 800,000 common shares, referred to as Consideration Shares, and the subsidiary paid $250,000 in cash, including a $25,000 deposit, to Rochester Colo. The Consideration Shares are subject to an escrow agreement and will be released in four equal tranches over 24 months following August 4, 2026.
The acquisition is an arm’s length transaction, and no finder’s fees were paid by either party. Mark Binns, Chief Executive Officer of Carrier Connect, expressed enthusiasm for the acquisition, stating, “We are thrilled to complete the acquisition of our first US based data center, and welcome our new US customer base to the Carrier Connect and PureColo family.” He further indicated that the Rochester acquisition establishes their wholly owned U.S. subsidiary, PureColo USA, through which the company intends to pursue further U.S. asset and operational acquisitions.
In addition to the acquisition, Carrier Connect announced the granting of 60,000 incentive stock options to directors, officers, employees, and consultants. These options are exercisable at $1.12 and expire on August 4, 2036. A portion of these options, 15,000 each, will vest at six, twelve, eighteen, and twenty-four months following the grant date, subject to applicable hold periods.
Carrier Connect Data Solutions Inc.’s mission is to acquire Tier II/III data centers globally that specialize in providing co-location and data center solutions to AI companies, service providers, enterprises, and small businesses. Data centers are defined as the physical locations housing computing machines and associated hardware like servers and network equipment. As a carrier-neutral organization, Carrier Connect’s systems are independent and owned outright within leased spaces. The company currently operates in Vancouver, Ottawa, and Saint John, Canada, as well as Rochester, New York, and Perth, Australia, serving clients who utilize its facilities as primary or ancillary data center sites.
