Pegasus Mercantile Announces Cease Trade Order

Pegasus Mercantile Inc. (CSE: LOAN) (Frankfurt: U040) (OTC: XTCYF) has been issued a Failure-to-File Cease Trade Order (FFCTO) by the British Columbia Securities Commission (BCSC), the company announced Wednesday.

The order, dated February 4, 2026, is a result of Pegasus Mercantile’s inability to file its annual financial statements and management’s discussion and analysis (MD&A) for the year ended September 30, 2025, on SEDAR by the January 28, 2026 deadline.

Pegasus Mercantile had applied for a Management Cease Trade Order (MCTO) on January 15, 2026, due to delays in obtaining information regarding one of its subsidiaries and a recent acquisition project. However, the BCSC declined the MCTO application.

The FFCTO stems from the company’s delayed filing of its audited consolidated financial statements for the fiscal year ended September 30, 2025, the related management’s discussion and analysis, and the CEO and CFO certificates pertaining to the annual financial statements.

The FFCTO includes an exception for beneficial security holders of the company who are not (and were not as of February 3, 2026) insiders or control persons. These holders can sell securities acquired before February 3, 2026, provided that:

The sale is made through a foreign organized regulated market, as defined in section 1.1 of the Universal Market Integrity Rules of the Canadian Investment Regulatory Organization.

The sale is made through an investment dealer registered in a jurisdiction of Canada in accordance with applicable securities legislation.

The FFCTO will remain in effect until the annual filings and all continuous disclosure requirements are met, and the BCSC issues an order revoking the FFCTO. Pegasus Mercantile stated it will provide further updates on the status of the annual filings and the FFCTO as appropriate.
