Vancouver, British Columbia — October 3, 2025 — Leads & Copy — 1329308 B.C. Ltd. has announced it will acquire Relief AI Inc. through a three-cornered amalgamation. The acquisition will be made in accordance with Section 174 of the Business Corporations Act (Ontario).
According to the agreement, 1329308 B.C. Ltd. will acquire all of the issued and outstanding common shares of Relief AI. Subco, a wholly-owned subsidiary of 1329308 B.C. Ltd., and Relief AI will amalgamate, with the resulting entity becoming a wholly-owned subsidiary of 1329308 B.C. Ltd. and carrying on the business of Relief AI.
In connection with the transaction, 1329308 B.C. Ltd. will issue 35,657,884 common shares. Following the transaction, the company will change its name to “Relief AI Corp.” or a similar name agreed upon by both companies. Prior to the completion of the transaction, 1329308 B.C. Ltd. will consolidate its 22,590,750 common shares on the basis of one post-consolidation share for every 9.0363 pre-consolidation shares, resulting in approximately 2,500,000 common shares outstanding post-consolidation.
Relief AI intends to complete a private placement of up to 4,000,000 units at $0.75 per unit, for total proceeds of up to $3,000,000.
Upon completion of the transaction, the management and board of directors of the resulting issuer is expected to consist of Paul Pint, James Lanthier, Philip Williams, Frank Scheelen and Arne Schultz.
Completion of the transaction is subject to several conditions, including the completion of the Consolidation, the Name Change, receipt of all necessary approvals, and material compliance by the parties with the terms of the Amalgamation Agreement.
